This Agreement is the official and public offer of the Seller to conclude a sales contract for the Goods presented on the website shop.mu.edu.ua. This Agreement is public, meaning that, in accordance with Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers regardless of their status (individual, legal entity, or sole proprietor) and cannot grant preference to one buyer over another. By entering into this Agreement, the Buyer fully accepts the terms and procedure regarding order placement, payment, delivery, return of Goods, liability for improper orders, and all other provisions of this Agreement. The Agreement shall be deemed concluded from the moment the Buyer clicks the “Confirm Order” button on the Checkout page in the “Cart” section and receives an electronic order confirmation from the Seller.

1. Definitions
   1.1. Public Offer (hereinafter – the “Offer”) means the Seller’s public proposal, addressed to an unlimited number of persons, to conclude a distance sales contract (hereinafter – the “Agreement”) on the terms set out in this Offer.
   1.2. Goods or Services means the object of the transaction between the Parties, which has been selected by the Buyer on the Website of the Online Store and added to the cart, or which has already been purchased by the Buyer from the Seller remotely.
   1.3. Online Store means the Seller’s website at shop.mu.edu.ua, created for the conclusion of retail and wholesale purchase-sale agreements based on the Buyer’s review of the Goods descriptions provided by the Seller via the Internet.
   1.4. Buyer means (i) a legally capable individual who has reached 18 years of age, receives information from the Seller and places an order for Goods presented on the Online Store for purposes not related to entrepreneurial activity; or (ii) a legal entity; or (iii) a sole proprietor.
   1.5. Seller means Sole Proprietor (FOP) Oksana Anatoliivna Derevianko (tax identification code 3553702960), a legal entity duly established and acting under the laws of Ukraine, registered at: Ukraine, 03186, Kyiv, Chokolivskyi Boulevard, Building 11, Apartment 75.

2. Subject of the Agreement
   2.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.
   2.2. The date of conclusion of this Offer (acceptance of the Offer) and the moment of full and unconditional acceptance by the Buyer of the terms of this Agreement shall be the date on which the Buyer completes the order form on the Online Store website, provided that the Buyer receives electronic confirmation of the order from the Seller. If necessary, and at the Buyer’s request, the Agreement may additionally be executed in written form.

3. Order Placement
   3.1. The Buyer places an order independently via the Online Store through the “Cart” form, or by placing an order via email or by phone as specified in the Online Store’s “Contacts” section.
   3.2. The Seller is entitled to refuse to fulfill and transfer an order to the Buyer if the information provided by the Buyer at the time of ordering is incomplete or raises doubts as to its validity.
   3.3. When placing an order through the Online Store, the Buyer undertakes to provide the following mandatory information required by the Seller to process the order:
   3.3.1. Buyer’s surname and first name;
   3.3.2. delivery address (if delivery to the Buyer’s address is requested);
   3.3.3. contact phone number;
   3.3.4. identification code / tax code (for a legal entity or sole proprietor).
   3.4. The name, quantity, SKU/article number, and price of the Goods selected by the Buyer are indicated in the Buyer’s cart on the Online Store.
   3.5. If either Party requires additional information, that Party has the right to request it from the other Party. If the Buyer fails to provide the requested information, the Seller shall not be liable for proper performance of services to the Buyer in connection with the purchase of Goods in the Online Store.
   3.6. When placing an order through the Seller’s operator (as per clause 3.1 of this Offer), the Buyer undertakes to provide the information specified in clauses 3.3 – 3.4 of this Offer.
   3.7. The Buyer accepts the terms of this Offer by entering the required information into the registration/order form on the Online Store website or by placing an order through the Seller’s operator. After an order is placed through the operator, the Buyer’s information is entered into the Seller’s database.
   3.8. The Buyer is responsible for the accuracy of the information provided when placing the order.
   3.9. By entering into this Agreement – that is, by accepting the terms of this Offer through order placement – the Buyer confirms the following:
   a) the Buyer has fully read and agrees with the terms of this Offer;
   b) the Buyer gives consent to the collection, processing, and transfer of personal data. This consent remains valid throughout the term of the Agreement and for an unlimited period after its termination. By entering into the Agreement, the Buyer also confirms that they have been informed (without additional notice) of their rights under the Law of Ukraine “On Personal Data Protection,” of the purposes of data collection, and that their personal data may be transferred to the Seller for the purpose of performance of this Agreement, settlement of payments, and generation of invoices, acts, and other documents. The Buyer also agrees that the Seller has the right to grant access to and transfer the Buyer’s personal data to third parties without additional notice to the Buyer if required to fulfill the Buyer’s order. The Buyer confirms that their rights as a personal data subject, as provided by the Law of Ukraine “On Personal Data Protection,” are understood and known to them.

4. Price and Delivery of Goods
   4.1. Prices for Goods and services are determined by the Seller and indicated on the Online Store website. All prices are listed in Ukrainian hryvnia (UAH), inclusive of applicable taxes.
   4.2. Prices for Goods and services may be changed unilaterally by the Seller depending on market conditions. At the same time, the price of any unit of Goods that has already been fully paid for by the Buyer cannot be unilaterally changed by the Seller.
   4.3. The price of the Goods indicated on the Online Store does not include the cost of delivery to the Buyer. Delivery costs are paid by the Buyer directly to the selected delivery service (carrier) according to its applicable tariffs.
   4.4. The price of the Goods indicated on the Online Store does not include the cost of delivery to the Buyer’s address.
   4.5. The Seller may indicate an estimated delivery cost to the Buyer’s address upon the Buyer’s request by email or when placing an order through the Seller’s operator.
   4.6. The Buyer’s payment obligations are deemed fulfilled at the moment the Seller receives the funds in its account.
   4.7. Settlements between the Seller and the Buyer for the Goods are carried out using the payment methods specified on the Online Store in the “Payment and Delivery” section.
   4.8. Upon receipt of the Goods, the Buyer must, in the presence of the delivery service representative (carrier), check the Goods for compliance with qualitative and quantitative characteristics (name of the product, quantity, completeness, shelf life/expiration date, if applicable).
   4.9. The Buyer or the Buyer’s representative, upon accepting the Goods, confirms by signing the sales receipt and/or order and/or consignment/delivery note that there are no claims regarding the quantity, appearance, or completeness of the Goods.
   4.10. Ownership and the risk of accidental loss or damage to the Goods pass to the Buyer or the Buyer’s representative from the moment the Goods are received by the Buyer at the agreed place of delivery in case of self-collection from the Seller, or from the moment the Goods are transferred by the Seller to the Buyer’s chosen delivery service (carrier).

5. Rights and Obligations of the Parties
   5.1. The Seller shall:
   5.1.1. Deliver the Goods to the Buyer in accordance with the terms of this Agreement and the Buyer’s order.
   5.1.2. Not disclose any private information about the Buyer and not grant access to such information to third parties, except as provided by law and/or as required to fulfill the Buyer’s order.
   5.2. The Seller has the right to:
   5.2.1. Change the terms of this Agreement, as well as prices for Goods and services, unilaterally, by publishing the updated information on the Online Store website. All changes take effect from the moment of publication.
   5.3. The Buyer undertakes to:
   5.3.1. Review the content and terms of this Agreement, as well as the prices offered by the Seller on the Online Store, prior to concluding the Agreement.
   5.3.2. Provide all data necessary for the Seller to properly identify the Buyer and ensure delivery of the ordered Goods.

6. Returns
   6.1. The Buyer has the right to return to the Seller non-food Goods of proper quality if such Goods do not meet the Buyer’s expectations in terms of form, dimensions, style, color, size, or for any other reason that prevents their intended use. The Buyer may return Goods of proper quality within 14 (fourteen) calendar days, not counting the day of purchase. Returns of Goods of proper quality are accepted if the Goods were not used and their commercial appearance, consumer properties, packaging, seals, labels, and the payment document (receipt) issued to the Buyer are preserved. The list of Goods that cannot be returned on these grounds is approved by the Cabinet of Ministers of Ukraine.
   6.2. Refunds for Goods of proper quality are made within 14 (fourteen) calendar days from the date on which the Seller receives such Goods from the Buyer, provided that the Buyer complies with clause 6.1 of this Agreement and applicable Ukrainian law.
   6.3. The refund is made using the same payment method that was originally used by the Buyer, unless otherwise expressly agreed with the Buyer.
   6.4. The cost of returning Goods of proper quality to the Seller’s address is borne by the Buyer and is not reimbursed by the Seller.
   6.5. If defects are discovered in the Goods within the established warranty period, the Buyer has the right, within the time limits and procedure established by the legislation of Ukraine, to submit claims to the Seller as provided for by the Law of Ukraine “On Consumer Rights Protection.” If the Buyer demands free rectification of defects, the time period for such rectification shall be calculated from the date on which the Seller receives the Goods and obtains physical access to them.
   6.6. Consideration of claims made under the Law of Ukraine “On Consumer Rights Protection” shall be carried out by the Seller provided that the Buyer submits all documents required by applicable Ukrainian law. The Seller is not liable for defects in the Goods that arise after transfer to the Buyer as a result of improper installation, use, or storage of the Goods by the Buyer, actions of third parties, or force majeure.
   6.7. The Buyer is not entitled to refuse Goods of proper quality which have individually determined properties, if such Goods can only be used by the Buyer who purchased them (including, but not limited to, non-standard sizes, characteristics, appearance, configuration, or other customized features requested by the Buyer). Confirmation that the Goods have individually determined properties includes differences in size or other specifications compared to standard characteristics listed in the Online Store.
   6.8. Returns of Goods in cases provided for by law and by this Agreement shall be carried out to the address indicated on the Online Store website in the “Contacts” section.

7. Liability
   7.1. The Seller shall not be liable for any damage caused to the Buyer or third parties as a result of improper installation, use, or storage of the Goods purchased from the Seller.
   7.2. The Seller shall not be liable for improper or untimely fulfillment of Orders and obligations if the Buyer has provided inaccurate or erroneous information.
   7.3. The Seller and the Buyer shall be liable for the performance of their obligations in accordance with the laws of Ukraine and the provisions of this Agreement.
   7.4. The Seller or the Buyer shall be released from liability, in whole or in part, for failure to fulfill their obligations if such failure results from force majeure circumstances, including but not limited to: war or military actions, earthquake, flood, fire, or other natural disasters that occurred beyond the control of the Seller and/or Buyer after conclusion of this Agreement. The Party that is unable to fulfill its obligations must promptly notify the other Party.

8. Confidentiality and Personal Data Protection
   8.1. By submitting personal data on the Online Store website during registration or when placing an Order, the Buyer provides the Seller with voluntary consent to the processing, use (including transfer), and other actions with respect to their personal data, as provided by the Law of Ukraine “On Personal Data Protection,” without limitation as to the term of such consent.
   8.2. The Seller undertakes not to disclose information received from the Buyer. Disclosure of such information to contractors and third parties acting under agreements with the Seller, including for the purpose of fulfilling obligations to the Buyer, or in cases where disclosure is required by Ukrainian law, shall not be deemed a violation.
   8.3. The Buyer is responsible for keeping their personal data up to date. The Seller shall not be liable for improper performance or non-performance of obligations due to outdated or inaccurate information provided by the Buyer.

9. Other Provisions
   9.1. This Agreement is concluded in the territory of Ukraine and is governed by the laws of Ukraine.
   9.2. All disputes arising between the Buyer and the Seller shall be resolved through negotiations. If no resolution is reached, either Party may refer the dispute to the competent courts of Ukraine in accordance with the applicable legislation.
   9.3. The Seller has the right to amend this Agreement unilaterally as provided in clause 5.2.1. In addition, amendments may be made by mutual consent of the Parties in accordance with the applicable laws of Ukraine.

10. Buyer’s Rights
    10.1. The Buyer has the right to receive complete and accurate information about the Goods, purchase terms, payment methods, and delivery conditions before placing an order.
    10.2. The Buyer has the right to purchase Goods of proper quality that correspond to the order and the description published on the Online Store.
    10.3. The Buyer has the right to return or exchange Goods in accordance with the Law of Ukraine “On Consumer Rights Protection” and Section 6 of this Agreement.
    10.4. If the Buyer discovers defects, discrepancies, or wishes to initiate a return or exchange, the Buyer may contact the Seller by email at:

    10.5. The Buyer must attach the following to the email:
    – a copy (photo or scan) of the payment document (receipt) issued at the time of purchase;
    – a copy of the delivery note or any other document confirming the purchase;
    – photographs of the Goods (all sides), showing their condition, any defects, or confirming that the Goods were not used.
    10.6. If the Seller confirms that the Buyer is eligible for a return or exchange, the Seller will provide a written (electronic) response indicating the method and address for returning the Goods.
    10.7. If an order was placed by mistake or duplicated (submitted twice), the Buyer has the right to request cancellation and a refund within 24 hours from the time of ordering by contacting the Seller via email. The refund will be issued to the Buyer’s bank account within ten (10) calendar days from the moment the request is confirmed.
    10.8. If the refund is delayed beyond this period, the Buyer has the right to request a written explanation and demand penalty/late fee in accordance with applicable Ukrainian law.

11. Privacy Policy and Personal Data Processing

    personal data are stored for the duration of the contractual relationship and for no longer than five (5) years after the last transaction or communication with the Buyer, unless a longer period is required by law.
    11.6. User (Buyer) rights include the right to:
    – know where and for what purpose their personal data are stored and processed;
    – obtain information about third parties to whom their data may be transferred;
    – request modification, blocking, or deletion of their personal data;
    – withdraw consent to processing of personal data;
    – submit a complaint to the Commissioner of the Verkhovna Rada of Ukraine for Human Rights (the Ukrainian Data Protection Authority / Ombudsman).
    11.7. Transfer of data to third parties:
    Personal data may be transferred exclusively to:
    – payment service providers for payment processing;
    – delivery/courier services for order fulfillment;
    – public authorities of Ukraine where such transfer is required by law.
    11.8. Cookies and analytics:
    The website uses cookies to improve user experience and to analyze traffic through services such as Google Analytics and Facebook Pixel. By using the website, the user consents to the use and processing of cookies.

The offer agreement shall enter into force on June 3, 2024.
